1About these Terms
These Terms of Service (“Terms”) are an agreement between you and Zealsync Private Limited (“Zealsync”, “we”, “us”, or “our”), 11/131, Elanthoor, Pathanamthitta - 689643, Kerala, India, the provider of Prooflin. They govern your use of the Prooflin website, accounts, Workspaces, audits, reports, and related services (together, the “Service”).
You accept these Terms when you agree to them while creating an account or making a purchase, or by otherwise using the Service. If you don’t agree, don’t use the Service.
Our Privacy Policy explains how we handle personal information. It is a separate document. Accepting these Terms is not consent to optional cookies or tracking, which you control separately with Cookie Settings.
Purchases for which Dodo Payments acts as merchant of record are also subject to the purchase terms Dodo Payments presents at checkout. A written Enterprise agreement can vary these Terms, as section 15 explains.
2Eligibility and accounts
2.1 Age and intended use
You must be at least 18 years old to create a Prooflin account or use the Service. Prooflin is intended for business and professional use, including by agencies, freelancers, consultants, and organizations.
2.2 Using Prooflin for an organization
If you use the Service for an organization, you confirm that you are authorized to accept these Terms on its behalf, and “you” includes that organization. An authorized representative of the organization can act on its behalf.
2.3 Workspaces and permissions
Within the Service, Workspace ownership and permissions decide who can take which actions. The Workspace Owner controls the Workspace’s plan, billing, and ownership. Admins and other members act within the roles they are given. The Owner and Admins are responsible for the people they invite and the roles they assign.
2.4 Your account
Give accurate account and billing information and keep it up to date. You are responsible for keeping your sign-in methods secure and for activity under your account. Tell us promptly if you suspect unauthorized access.
3The Prooflin service
Prooflin is an audit and report-generation service. Depending on your plan, it includes:
- Website Audit
- Reviews of publicly accessible pages you supply by URL, sitemap, page list, or CSV, including SEO audit reports.
- Design & Creative Audit
- Reviews of logos, brand material, and creative assets from the images and PDF pages you upload.
- Ad Campaign Performance Audit
- An internal performance audit prepared from the campaign exports, screenshots, and figures you supply.
- Client Ad Campaign Report
- A client-ready report prepared from the same kinds of campaign data.
- Report delivery
- PDF export and, where your plan includes them, hosted reports, White-Label presentation, and custom-domain hosting for eligible reports.
Prooflin works with the material you supply. It does not connect to your advertising, analytics, or design-tool accounts, and it does not access private or members-only areas of websites.
Features, allowances, and limits depend on your Workspace’s plan, as described on the Pricing page and in the Service. We may change, add, or remove features to improve the Service, keep it secure, or comply with the law. For an existing paid subscription, planned changes that materially reduce its core features ordinarily take effect at the next renewal, after advance notice. Earlier changes may be necessary for legal or security reasons; any rights or remedies that cannot lawfully be excluded remain unaffected.
4Your material and permitted use
4.1 You keep your rights
You retain all rights you have in the material you supply to Prooflin, including website addresses, files, images, documents, campaign data, business context, and the edits you make (“Your Material”).
4.2 The permission you give us
You give Zealsync a non-exclusive, worldwide, royalty-free permission to host, store, copy, process, transform, and display Your Material, and to share it with our service providers, only as needed to provide, support, and secure the Service you request and to publish or deliver reports as you authorize. This permission ends when Your Material is deleted under our retention practices, except for copies we must keep by law and copies in backups until those backups expire.
We do not use your private Material, or the reports made from it, to train AI models or feature it in public marketing without your separate permission.
4.3 Material from others
You confirm that you have the rights and permissions needed to supply Your Material and to have it processed as these Terms describe. This includes material about your clients, brands you don’t own, and other people, and a lawful basis for any personal information it contains.
4.4 Using your reports commercially
Subject to your plan and to third-party rights in the underlying material, you may use, edit, and deliver the reports you generate in the course of your business. This includes delivering them to your clients, presenting them under your own brand where your plan includes White-Label, and charging your clients for services that include them.
4.5 AI-generated output
Reports and other output are generated with AI assistance. Similar inputs can produce similar output for other customers, so output is not necessarily unique to you. As between you and Zealsync, we claim no ownership of the report content generated from Your Material, apart from the Prooflin elements described in section 4.6. Whether copyright or other rights exist in that content depends on the applicable law and on the underlying material.
4.6 Our rights
Zealsync and its licensors own Prooflin, including its software, branding, report templates and designs, scoring methods, prompts, and other proprietary service technology. These Terms give you no rights in them except to use the Service as these Terms permit. If you send us feedback or suggestions, we may use them without any obligation to you.
5Acceptable use
You must not use the Service to:
- Upload, publish, or share material that is unlawful, or that infringes anyone’s intellectual property, privacy, or other rights.
- Commit fraud, misrepresent who you are, or present a report as a certification or a third-party rating.
- Access the Service through bots, scripts, or other automated means it doesn’t support, or in a way that overloads or disrupts it.
- Access, or attempt to access, accounts, Workspaces, systems, or website areas you are not authorized to use.
- Bypass or interfere with security features, plan limits, usage allowances, or other restrictions.
- Try to obtain other customers’ private information, or probe, scan, or test the Service for vulnerabilities without our written permission.
- Reverse engineer the Service or extract its prompts, scoring methods, or other proprietary technology, except where the law permits this despite these Terms.
- Introduce malware or other harmful code.
- Break any law that applies to you, including privacy, consumer-protection, and advertising law.
Ordinary use of your reports is permitted: analyzing, editing, and exporting them, sharing them with your clients, and publishing them as the Service allows. If you find a security vulnerability, please report it to us through the Contact page instead of testing it further.
6AI output and your responsibility
Prooflin uses AI to analyze Your Material and to prepare findings, scores, recommendations, and wording. AI-assisted output can contain errors and omissions and can reach incomplete or incorrect conclusions.
You must review findings and recommendations, and edit them where needed, before you rely on a report or share it. You decide what to finalize, publish, or send, and you are responsible for that decision.
Reports analyze the material you supplied. They do not guarantee search rankings, traffic, conversions, revenue, legal or regulatory compliance, design success, or any other outcome.
Audit scores are Prooflin’s assessments of the supplied material. They are not certified third-party ratings or professional certifications, and you must not present them as such. Reports are not legal, financial, or other professional advice; obtain qualified advice where you need it.
7Plans, Trial, billing, and renewal
7.1 Plans
Subscriptions belong to a Workspace. A Workspace’s plan decides its features, allowances, and limits. Current plans and prices are shown on the Pricing page.
CURRENT PLANS AND PRICESPricing7.2 Prices, taxes, and billing cadence
Prices are in US dollars (USD). Applicable taxes and the final amount you will be charged are shown at checkout before you confirm a purchase. Paid plans are billed monthly or annually, as you choose at checkout.
7.3 Merchant of record
For applicable purchases, Dodo Payments is the merchant of record. It processes your payment, issues the invoice or receipt, and handles applicable taxes, and the purchase terms it presents at checkout also apply to your purchase.
7.4 Renewal
A paid subscription renews automatically at the end of each monthly or annual term, according to the terms you accepted at checkout, until you cancel it. To stop the next renewal, cancel before the renewal date.
If the price of your plan changes, we will tell you before the new price applies to your subscription, and you can cancel before it takes effect.
7.5 The seven-day Trial
- The seven-day Trial requires successful verification of a payment method. It starts when it is activated after that verification succeeds, not when you create an account.
- Payment-method verification is not a subscription payment.
- The Trial does not automatically convert into a paid subscription, and it does not authorize us to charge you automatically when it ends.
- To continue with a paid plan, you buy it with your separate purchase authorization.
7.6 Extra generations
- On a paid plan, the Workspace Owner can buy extra full generations in packs. Pack size and price are shown on the Pricing page and at checkout. A Workspace can buy up to five packs in a calendar month (UTC).
- Extra generations can be used for 12 months from purchase, and only while the Workspace has an active paid plan. Audits use the month’s plan allowance first, then extra generations, earliest expiry first.
- Extra generations belong to the Workspace that bought them. They can’t be transferred or exchanged for cash, and any left unused end when they expire or when the Workspace is deleted.
- Extra generations are not refundable, except where applicable law requires a refund or we verify a duplicate charge or billing error. If a pack payment is refunded or reversed, the pack’s unused generations are removed; while it is disputed, they are paused.
8Cancellation and refunds
- The Workspace Owner can cancel a paid subscription at any time. Cancellation stops future renewal and takes effect at the end of the current paid term. Paid access ordinarily continues until then.
- We don’t provide prorated refunds for the unused part of a term, except where applicable law requires them.
- If we verify a duplicate charge or a billing error, we will correct it or refund the affected amount.
- A failed, reversed, or incomplete payment does not provide paid access. If a renewal payment doesn’t succeed, paid features may be restricted until it does.
- Variations to pricing, billing, or refunds for Enterprise customers apply only under an approved written Enterprise agreement.
Nothing in these Terms removes cancellation or refund rights that mandatory consumer law gives you, or the obligations a merchant of record has to you.
9Report sharing
You decide whether to publish a hosted report or share a PDF, and you are responsible for the reports you deliberately publish and the PDFs you distribute, including making sure you may share them with their recipients.
A published report is available to anyone with an accessible link, subject to the access controls you set. Search-engine exclusion and password protection limit discovery and access, but they don’t stop recipients from forwarding what they receive. Unpublishing stops the hosted link from serving the report; it doesn’t recall PDFs, screenshots, or copies already made.
We do not promise that a published report will remain available indefinitely. A hosted report depends on your Workspace’s plan and status and can become unavailable if you unpublish or delete it, if your plan changes, or if the Workspace is suspended or closed. We may also restrict or remove a published report that breaches these Terms or the law, or that we are legally required to remove.
10Suspension and termination
10.1 Restrictions we may apply
We may suspend or restrict access to the Service, a Workspace, or a published report where reasonably necessary because of nonpayment, suspected fraud, unlawful use, a security threat, or a material breach of these Terms. We act proportionately, for example by restricting only the affected feature or report where that is enough. Unless it would be unlawful or create a risk to the Service or others, we will tell you and give you an opportunity to resolve the issue.
10.2 Ending these Terms
You can stop using the Service at any time, and a paid plan can be cancelled as section 8 describes. You may request deletion of your own account. The Workspace Owner may request deletion of a Workspace they own, subject to verification and the retention rules in the Privacy Policy. A Workspace Owner can’t delete another member’s personal account.
We may end these Terms for your account or Workspace if you materially breach them and do not remedy the breach within a reasonable time after notice, where it can be remedied; immediately, where the breach is serious, such as fraud or a security threat; or where the law requires us to. If we discontinue the Service, we will give reasonable advance notice where possible.
10.3 What happens to your data
When an account or Workspace closes, access ends, and its data is deleted or kept as the Privacy Policy describes. We do not promise the immediate destruction of every record: some records must be kept for legal, tax, and security reasons, and backups expire on their own schedule. Export anything you need before you close an account or Workspace.
RETENTION SCHEDULEPrivacy PolicyProvisions that by their nature should continue after these Terms end, including payment obligations already due, intellectual property, sections 11 and 12, and governing law, continue to apply.
11No guarantees
To the extent permitted by law:
- The Service, and all reports and other output, are provided “as is” and “as available”.
- We do not guarantee that the Service will be uninterrupted, timely, secure, or free of errors, or that defects will be corrected.
- We do not guarantee that output will be accurate, complete, or suitable for your purposes, or that using the Service or any report will achieve commercial or other results.
- We disclaim all warranties and conditions not expressly stated in these Terms, whether express or implied, including implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, and non-infringement.
12Limitation of liability
To the fullest extent permitted by law:
- Zealsync is not liable for any loss or damage arising from your use of, or inability to use, the Service, or from reliance on any report or other output.
- Without limiting the above, Zealsync is not liable for indirect, incidental, special, consequential, or punitive losses, or for loss of profits, revenue, business, opportunity, goodwill, or data, however caused and even if they were foreseeable.
- These exclusions apply whatever the legal basis of the claim, including contract, tort (including negligence), and breach of statutory duty.
Nothing in these Terms excludes or limits liability, consumer rights, refunds, remedies, or other protections that cannot lawfully be excluded or limited.
In particular, nothing in these Terms excludes or limits liability for fraud or fraudulent misrepresentation, for death or personal injury caused by negligence, for obligations under data protection law that cannot be limited, or for any other liability that the applicable law does not allow to be excluded or limited. If you are a consumer, you keep the statutory rights these Terms cannot affect. Where a law allows liability to be limited but not excluded, these Terms limit it only as far as that law permits.
13Governing law and disputes
These Terms are governed by the laws of India.
Subject to any mandatory statutory or consumer rights you have, including any right to bring proceedings where you live, the competent courts in Pathanamthitta, Kerala, have jurisdiction over disputes arising from these Terms or the Service.
If you have a concern, we invite you to contact us first so that we can try to resolve it. Doing so is optional. It does not waive any mandatory right, and it does not prevent you from approaching a regulator, a consumer body, or a court.
Raise a Legal Concern14Changes to these Terms
We may update these Terms. The effective date at the top of this page shows when the current version took effect.
If we make a material change, we will ordinarily give at least 30 days’ notice before it takes effect, by email to account holders, in the Service, or on our website. A change needed urgently for legal, fraud-prevention, or security reasons may take effect sooner, and we will tell you about it as soon as reasonably possible.
If you don’t agree to a change, you can stop using the Service and cancel your plan before the change takes effect. Where the law allows, continuing to use the Service after a change takes effect means you accept the updated Terms. Changes don’t apply to disputes that arose before the change took effect. Changes to the features of an existing paid subscription follow section 3.
15General provisions
- Enterprise agreements
- If your organization signs a written Enterprise agreement with Zealsync that expressly varies these Terms, that agreement prevails where the two conflict. Otherwise, these Terms apply.
- Entire agreement
- These Terms, together with the purchase terms you accept at checkout and any Enterprise agreement, are the entire agreement between you and Zealsync about the Service.
- Severability
